회생절차에서 기업가치산정방법에 관한 고찰

초록
실제 자산을 매각하는 파산절차는 매각절차가 공정하다면 각 권리자별로 이해가 크게 상반되지 않으며, 일반 민사법에서 인정되는 권리의 순위가 존속되어 관련 다툼도 거의 없다. 그러나 회생절차는 대상기업의 회생(존속)이 모든 이해관계자의 이익을 최선으로 도출할 수 있다는 전제하에 기업을 유지하면서 각 이해관계인의 권리를 조정하는 절차이기 때문에 다양한 문제점을 초래한다. 특히, 가치평가 문제는 회생절차에서 발생하는 다수의 문제중 하나일 뿐이지만 회생절차 전반에 걸쳐 있는 중요한 문제이다. 가치평가 결과는 회생절차의 진행여부에서부터, 회생절차에 참가자로서 각 이해관계자의 의결권 행사기준이 되며, 특히 회생계획의 확정기준 등에 영향을 미친다. 본 논문은 대법원이 정한 가치평가방법과 그 문제점, 회생절차 진행시 다양하게 발생하는 가치평가 기준에 대한 해석론을 살펴보면서 그 문제점과 올바른 해석방안을 제시하였다. 현재 미국에서는 가치평가가 없는 대안도 제시되고 있으며 가치평가 문제를 축소할 수 있도록 채권자 중심의 가치평가를 제안하였다.
Abstract
If the sale process is fair, the bankruptcy process of selling real assets is hardly contested. However, the reorganization proceedings creates a variety of problems because it is a process to adjust the rights of each creditor while retaining the entity on the basis that it can best derive the interests of creditor. In particular, the issue of valuation is only one of the many problems arising from the reorganization proceedings, but it is an important issue throughout the reorganization proceedings. The valuation results are the basis for the exercise of each creditor's voting rights as a participant in the reorganization proceedings, particularly the basis for the confirmation of the reorganization draft. This paper criticized the interpretation theory on various standards of valuation occurring in the reorganization proceedings, with the focus on the valuation method set by the Supreme Court. In addition, the correct interpretation method was suggested, focusing on the criticism. Meanwhile, in the U.S., alternatives without valuation are also being suggested. It also proposed a creditor-centered valuation to reduce the problem that takes into account the fact that the current valuation issue arises from the court-centered focus.
