중국 차스닥시장의 IPO 기업에 대한 저가발행정도와 벤처캐피탈의 인증효과에 관한 연구

본 논문은 2009.10-2018.12 기간 동안 중국 차스닥시장에 신규 상장된 731개의 기업을 대상으로 저가발행정도와 벤처캐피탈의 인증효과(Certification effect) 존재여부를 검증하였다. 본 논문은 시장조정수익률 모형을 적용하여 배분일 기준의 상장 당일과 상장이후 10일, 20일, 30일 누적 초과수익률을 사용한 정량분석을 실시하였다. 또한 본 연구는 정량분석 결과의 강건성 차원에서 발행기업의 정보비대칭에 영향을 미치는 여러 요인들을 통제한 회귀분석모형을 실시하였다. 본 연구의 주요 결과를 종합하면 다음과 같다. 첫째, 중국 차스닥시장에서 IPO 저가발행정도는 기존 연구보다는 높지 않으며, 강세시장일수록, 그리고 2014년 주가제한폭이 확대된 이후 저가발행정도가 커지는 것으로 나타난다. 둘째, 중국 차스닥시장에 신규 공모하는 발행기업 중 벤처캐피탈 투자를 받은 기업과 그렇지 않은 기업 간 저가발행정도 차이에 대한 정량분석과 회귀분석결과 모두 유의하지 않은 것으로 나타나고 있다. 이는 차스닥시장에 벤처캐피탈의 인증효과가 존재하지 않음을 의미한다.
Abstract
This paper is to examine not only the level of IPO underpricing, but also the existence of certification effect for 739 Chinese A-share IPO companies from October 2009 to December 2018 in Chasdaq of China’s GEM(Growth Enterprises Market). For the purpose of study, it measure an excess return on the day of listing and 30 days after listing with applying the market adjustment model. It, also, use bid distribution date that earlier studies have ignored to avoid the distortion of measuring date on the IPO excess return. With quantitative analysis, we employ regression model after controling other variables to influence IPO underpricing. The main results from study are as follows; First, The level of IPO underpricing of this study is lower than that of existing research for Chinese market. However, It is founded that there is high level of IPO underpricing when considering 30 days after IPO. Second, there is no significant difference of IPO underpricing between venture capital backed IPO and non-venture capital backed IPO firms, which is consistent to regression model. It means that there is no certification effect in Chasdaq market.
