상법상 권리행사방해 등에 관한 증･수뢰죄의 연구

초록
현대사회에서의 기업 활동은 기업가나 기업 관련자만의 문제가 아니라 국민 생활 전반에 걸쳐 영향을 미치고 있다. 그러므로 기업은 그 어떤 주체보다도 더 투명하고 정의 관념에 부합하게 운영되어야 한다. 종국적으로 기업이 스스로 투철한 준법정신과 높은 윤리의식에 따른 경영을 하여야 한다는 것이다. 기업이 준법정신과 윤리의식을 상실해 기업 또는 이해관계자들만의 이익을 쫓아 근시안적 사고와 운영방침으로 현실적 이익만을 목표로 설정하여 기업 활동을 하게 된다면 그 폐해는 국가경제 질서의 파괴는 물론 국민들의 기초생계까지도 위협할 수 있다. 이에 본 논문에서는 권리행사방해 등에 관한 증･수뢰죄(상법 제631조)를 현행 형법 제37장의 권리행사를 방해하는 죄와 비교 검토하여 보다 쉽게 이해할 수 있도록 구성하는 등 기업범죄의 처리기준에 대한 제도를 정비하는 등 좀 더 쉽게 구성하여 기업은 자정의 노력으로 법규에 적합하게 설립, 운영함으로써 국가의 발전과 국민의 생활안정에 부합한 경영을 통해 범죄 예방적 효과를 기대한다. 또한 본죄를 형법 체계와 같은 구성으로 전개해 수사기관이나 법원 등 실무담당자들이 현장에서 보다 익숙하게 본죄에 접근하고 적용할 수 있는 기반을 마련하고자 한다.
Abstract
Business activities in modern society are not just a problem for entrepreneurs or business people, but affect the entire lives of people. Therefore, enterprises should be more clearly and consistently operated with their purposes distinctly defined. In other words, businesses need to show both a respect for the law and a high sense of ethics. If an enterprise loses or forgets its law-abiding spirit and ethics, and targets only real interests through short-sighted thinking and by operating policies in pursuit only of the interests of the entity or its stakeholders, such could threaten not only the national economic order but also the basic livelihood of the people. Thus, this article examines the necessity of the system maintenance for the standard to handle corporation crimes by comparing and investigating the crimes of bribery (article 631) in relation to obstruction of rights with the crimes of obstruction of rights in the chapter 37 of the criminal act. Thus, through its own efforts, the enterprise should be managed with the stability of the nation and its people in mind by being set up and operated in accordance with precepts of following the law. Moreover, through developing the crimes of bribery in the same way as criminal act system, this article aims to establish the foundation for the person in charge of investigative agency or court to access and apply better.
