스페인 몬드라곤 기업 복합체의 회사법적 시사점

초록
오늘날 기업과 회사제도가 고도로 발달한 결과 소수에게로의 자본집중이나 산업독점과 같은 부작용과 단점이 발생하고 있고, 이에 대한 해결책으로 기업의 공공성과 사회성을 실현하기 위한 규제가 가해지고 있다. 19세기 초기에 유럽에서 시작된 협동조합(co-operation) 운동은 영국과 독일에서 활발히 논의되고 발전되었는데 이후 여러 나라에서 각국의 실정에 맞는 형태로 진화되었다. 그 중의 한 예인 스페인의 몬드라곤 기업 복합체는 협동조합으로 이루어진 기업 복합체임에도 기업의 공공성과 사회성을 실현한 실증적인 사례라고 할 수 있어 이 점에서 특별한 평가를 받고 있다. 몬드라곤 기업 복합체는 하나의 협동조합으로 시작하여 오늘날 금융, 산업, 유통, 교육 부분에서 266개의 협동조합･기업을 전 세계 시장을 상대로 운영하고 있다. 이러한 몬드라곤 기업 복합체의 성공적인 요소를 파악하기 위해서는 개별 협동조합의 의사결정 구조와 더불어 기업 복합체라는 기업 집단의 운영원리도 살펴 볼 필요가 있다. 이러한 고찰은 회사법적 관점에서 협동조합 형태와의 접점, 의사결정, 이해충돌, 지역성, 이사의 보수에 대한 많은 시사점을 제공한다.
Abstract
In recent days, Corporation Complex is regarded to be regulated because of its faults: the concentration of capital and the monopoly of industry for the implementation of social justice and public interests. The co-operative movement had begun in Europe but it has developed very successfully in the Mondrgaon Corporation in Spain and the Mondrgaon Corporation is one of Corporation Complex composed of 266 co-operatives and firms. The Mondrgaon Corporation’s division is divided into four groups: finance, industry, retail and education. The management system of these cooperatives body under the Mondrgaon Corporation is helpful to solve the problems from the failure of the company and the market in many countries. These organisms and principles of the Mondrgaon cooperative corporation in the point of decision process, conflict of interests, locality and salary scale are introduced to the principle of corporation also.
