초록
[연구목적]본 연구에서는 사외이사후보추천위원회 독립성이 이사회 특성에 미치는 효과를 분석하였다. 먼저, 사외이사후보추천위원회 독립성과 관련된 5가지 변수를 선행연구로부터 선정하고, 5가지 변수를 점수화하여 사외이사후보추천위원회 독립성을 측정하였다. 또한, 사외이사후보추천위원회 독립성과 관련된 5가지 변수에 대해 요인분석을 실시한 후, 추출된 요인으로 사외이사후보추천위원회 독립성과 관련된 특성을 구분하였다. 그리고 종속변수인 이사회 특성을 이사회 사외이사 비율, 이사회 전공다양성 및 사외이사의 이사회 참석률로 측정하였다. [연구방법]2001년부터 2012년까지 한국거래소 유가증권시장에 상장된 비금융기업 가운데 사외이사후보추천위원회를 자발적으로 도입한 174개의 기업－년 자료를 대상으로, 사외이사후보추천위원회 독립성이 이사회 특성에 미치는 영향을 분석하였다. [연구결과]주요 검증결과는 다음과 같다. 첫째, 사외이사후보추천위원회 독립성은 이사회 사외이사 비율, 이사회 전공다양성 및 사외이사의 이사회 참석률에 유의적인 양의 영향을 미치는 것으로 나타났다. 이러한 결과는 사외이사후보추천위원회의 독립성이 높은 경우, 이사회의 독립성과 다양성이 높게 구성되며, 선임된 사외이사의 활동성도 높아진다는 것으로 해석할 수 있다. 둘째, 사외이사후보추천위원회 독립성과 관련된 5가지 변수에 대해 요인분석을 실시한 결과, 구성의 독립성과 경영자 관련성으로 명명한 2개의 공통요인이 추출되었다. 사외이사후보추천위원회의 구성의 독립성은 이사회 사외이사비율, 이사회 전공다양성 및 사외이사의 이사회 참석률에 유의적인 양의 영향을 미치는 것으로 나타났다. 반면, 사외이사후보추천위원회의 경영자 관련성은 사외이사의 이사회 참석률에 유의적인 음의 영향을 미치는 결과가 나타났다. 이러한 결과는 사외이사후보추천위원회가 독립적으로 구성될수록 이사회가 독립적이고 다양성이 높게 구성됨은 물론 사외이사의 활동성도 높아진다는 것을 의미한다. 또한 사외이사후보추천위원회가 경영자와 관련성이 높은 경우, 사외이사의 활동성이 낮아진다는 것을 나타낸다. [정책적 시사점]본 연구결과는 사외이사후보추천위원회의 역할에 대한 실증적 근거를 제공함으로써, 사외이사후보추천위원회 구성에 대한 정책을 마련하는데 활용될 수 있다는 점에서 정책적 의의가 있다. 또한, 사외이사후보추천위원회를 도입하려는 기업들에게 효과적인 구성을 위한 지침을 제공해준다는 점에서 실무적 의의가 있다. 뿐만 아니라, 사외이사후보추천위원회의 역할 및 효과에 대한 향후 실증적 연구를 위한 기초자료가 될 수 있다는 점에서 학문적 의의도 찾을 수 있다.
Abstract
[Purpose]The purpose of this study is to examine the effect of nominating committee independence on characteristics of board of directors. [Methodology]Through a review of prior studies, we select five different nominating committee characteristics and define nominating committee independence as the sum of the independence scores of the five nominating committee characteristics. Applying factor analysis to the five selected nominating committee characteristics, we reduce them to two common factors defined as characteristics of nominating committee. We set characteristics of board of directors such as the ratio of outside directors, the board diversity of college majors and the attendance rate of outside directors as the dependent variables which are affected by nominating committee independence as well as characteristics of nominating committee. Analyzing the 174 KOSPI listed non－financial companies that voluntarily adopted their nominating committees from 2001 and 2012. [Findings]We find the major empirical results as follows. First, nominating committee independence has a significantly positive impact on the three characteristics of board of directors such as the ratio of outside directors, the board diversity of college majors and the attendance rate of outside directors. These test results imply that nominating committee independence gives a positive impact on composition and activities of board of directors.Second, applying factor analysis to the five selected nominating committee characteristics, we extract common factors such as independent composition of nominating committee and nominating committees’ ties with CEO and regard them as independent variables to the test models. While independent composition of nominating committee has significantly positive impacts on the ratio of outside directors, the board diversity of college majors and the attendance rate of outside directors, nominating committees’ ties with CEO have a significantly negative impact on the attendance rate of outside directors. The test results imply that independent composition of nominating committee has more impact on the board characteristics of than nominating committees’ ties with CEO do. [Policy Implications]The test results of this study will provide companies or regulatory agencies with significant opportunities to construct a more desirable nominating committee system. At the same time, this study will contribute to future research on nominating committee.
