초록
기업의 사회적 책임(이하 ‘CSR’이라 함)은 1950년대부터 미국을 중심으로나타난 개념이다. 그 당시 미국의 기업들은 환경에 대한 공해의 문제나, 시장경제질서의 하나인 독과점 지배와 같은 사회적 이슈를 통하여 물의를 일으킨것에 대한 보상차원에서 기업의 이익의 일부를 사회에 환원하는 자선사업을하게 되었다. 대체로 기부의 형태로 이루어진 자선사업은 오늘날 CSR을 좁게해석하는 오점을 남기게 되었다. 오늘날 대부분의 기업들은 생산 및 유통 과정에서 기업 활동에 대한 투명성과 윤리성을 요구받는다. 더욱이 기업들이 사회문제를 해결하는 것에 적극적이고 광범위하게 참여를 요구받는 사회적 책임이 강조되고 있다. CSR은 윤리적 또는 도덕적 책임이라는 의미로 주로 사용되고 있을 뿐, 법적인 책임과 이행에 대한 강제력은 크게 존재하지 않았다. 과거 우리나라는 정부주도하에 경제성장을 주도하여 왔었다. 정부가 외자를유치하면 기업들이 전략적 산업분야를 설립하여 그 산업을 성장시키는 등 국민경제의 견인차 역할을 해왔다. 이러한 과정에서 부에 대한 쏠림현상, 정경유착, 지역사회의 불균형적 발전, 근로자에 대한 근로 환경의 문제, 수질과 대기와 같은 환경오염 문제 등이 발생하게 되었다. 이러한 사회적 문제는 우리의실생활에 직접적으로 밀접한 관계에 놓이게 되었다. 오늘날 이러한 제반 현상들은 CSR에 대한 문제로 바로 직결된다. 따라서 CSR에 대하여 부정적 견해와긍정적 견해가 존재하고 있다. 종래 우리나라 다수의 견해는 CSR의 개념에대하여 불명확성 내지 모호성, 입법기술상의 문제점, 회사의 본질에 대한 문제점 등을 근거로 소극적 자세를 보였다. 세계적 추세에 따라 우리나라도 만약CSR을 인정하게 될 경우 어떻게 회사법제 안으로 법제화할 것인가? 에 대하여 고려해 보아야 한다. 기존의 선행연구에도 이러한 논의를 다루고 있었고,주로 CSR에 대한 윤리적, 도덕적 책임을 중심으로 한 연구들이였다. 본 연구에서는 CSR에 대한 회사법제화를 중심으로 한 이사의 의무와 책임, 기업의지배구조에 대하여 경영진에 대한 감독기능 및 공시기능 등을 고찰해보고자한다.
Abstract
Corporate social responsibility (CSR) is a concept that has emerged in the UnitedStates since the 1960s. At that time, American companies were doing charity workto return some of their profits to society in order to compensate for the pollutioncaused by the pollution of the environment and the social issues such as monopolydomination. Charities generally made in the form of donations was leaving a stainthat narrowly interpret CSR today. Today, most companies are required to betransparent and ethical in their production and distribution processes. Moreover, it isemphasized that social responsibility is required for companies to actively and widelyparticipate in solving social problems. CSR is often used in the sense of ethical ormoral responsibility, but there is no enforcement of legal responsibility. In the past, our country has led economic growth under government initiative. When the government has attracted foreign investment, it has played a role ofdriving the national economy by establishing strategic industries and growing theindustry. In this process, various problems have arisen. This social problem isdirectly related to our real life. These problems are connected to the CSR. Accordingto the global trend, if Korea recognizes CSR, how will it be legislated into thecompany legal system? Should be considered.
