資本減少無效確定判決이回生計劃에 미치는 영향 - 대상판결: 대법원 2010. 2. 11. 선고2009다83599 판결 -

초록
어느 회사(다음부터 ‘회생회사’라 한다)가 채무자회생법에 의한 회생절차의개시를 신청하기 이전에 주주총회 결의를 거쳐 자본감소를 하였다. 이에 대하여 일부 주주가 자본감소를 위한 주주총회 결의가 무효라는 소송을 제기하였다. 이러한 상태에서 회생회사는 법원에 회생절차의 개시를 신청하여 개시결정이 내려지고, 이어서 회생계획까지 인가되었다. 그 후에 회생절차 신청전에 제기한 자본감소에 관한 소송이 대법원에서 무효라고 확정되었다. 이 경우 회생회사에 대한 회생계획에서 자본감소에 관하여 규정하였고 이것이 확정된 경우에는 채무자회생법에 의하여 확정판결과 같은 효력이 발생하는데, 그 이후에 회생절차 신청 전에 제기한 자본감소에 관한소송이 진행되어 확정된 판결은 어떠한 효력을 가지느냐 하는 것이 문제된다. 이에 관한 해석은 ① 자본감소라는 동일사안에 관하여 회생계획에 의한 확정과 판결에 의한 확정이 이중으로 행해진다면, 먼저 회생계획에 의하여 확정되었으므로 나중에 소송으로 확정된 것은 아무런 의미를 가지지 않는다고 볼수도 있고, ② 소송에서의 확정은 먼저 행해진 회생계획에 의한 확정의 전제를무효화시키는 것이 되므로 다시 확정하는 의미를 가진다고 해석할 수도 있다. 이에 관하여 필자는 전자와 같이, 인가되고 확정된 회생계획은 확정적 효력을 가지므로, 나중에 대법원에서 감자무효결정이 내려졌다고 하더라도 이는회생계획의 효력에 영향을 미치지 않는다고 생각한다.
Abstract
A Company(hereafter, ‘Rehabilitation Company’) conducted Capital Reductionthrough shareholders meeting before applicating Rehabilitation Procedures underDebtor Rehabilitation and Bankruptcy Act(hereafter ‘the Act’). Concerning it, someshareholders filed a lawsuit against this decision. In the meantime, RehabilitationCompany’s Plan is applied and approved by the Court. After that, The Supreme Court determined that Capital Reduction is invalid whichcommenced before the application of Rehabilitation Procedure. This situation raisedan issue regarding the impact of Court’s Decision on Rehabilitation Plan because itrules the Capital Reduction, and if it is approved, it holds the same impact as finalruling in accordance with the Act. This issue can be interpreted as two-fold. First, the Plan has priority over theCourt’s Decision due to chronological sequence. Second, determination by the Courtcan seem as reconsideration the validity of the Plan. This paper put more weight on the first argument as an approved RehabilitationPlan has determined validity thus even the Court cannot alter it.
