기업 M&A이후 기술흡수역량에 미치는 요인에 관한연구 : 시스코 시스템즈 사례중심
A study on factors affecting technology absorptive capacity in corporate M&A: The case of Cisco Systems

4차 혁명 시대에 접어들면서 IT 분야에 기술 트랜드와 혁신은 점점 빨라지고 다각화되고 있다. 급속한 변화 속에서 기업들은 독자적인 제품개발로 고객이 요구하는 다양한 서비스를 제공하는 데 한계를 극복하고자 외부기술 흡수 전략으로 M&A를 선택하고 있다. 하지만, 기업의 M&A가 모두 성공을 보장하지는 않는다. 막대한 자금을 투자하고도 M&A를 통해 기대했던 효과를 얻지 못한 많은 사례를 선행연구를 통해서 알 수 있다. 본 연구는 M&A 이후 인수 기업의 기술 흡수 역량에 영향을 주는 요인과 M&A 거래 규모의 조절 효과를 분석하기 위해서 오랜 기업인수 경험으로 성공적인 성과를 거두고 있는 대표적인 M&A 모범사례로 불리는 미국의 글로벌 IT기업 시스코 시스템즈의 사례를 표본으로 실증적 연구를 수행했다. 연구결과, 인수기업의 기술 흡수 역량에 긍정적인 영향을 주는 요인으로 피인수 기업의 기술적 역량과, 인수기업의 기술 경로 의존성으로 나타냈다. 반면에 인수기업의 기술역량은 음의 방향으로 인과 관계가 나타났다. 또한, 인수 거래 규모의 조절 효과는 가설 예측과 달리 유의미한 영향을 주지 못했다.
Abstract
Technology development and innovation of IT industry become rapid and diversified in the 4th industrial revolution. Firms select M&As as a way of technology absorption to overcome the challenges of various services required from customers by in-house product development however, M&As never guarantee it’s all success. it could fail to bring the expected outcomes from M&As despite of high investments. This dissertation examines the factors affecting on technology absorptive capability after M&A integration with the external technology acquisition, and study a moderating effect of M&A transaction values between Acquirer’s absorptive capability and Target’s capability. We conduct an empirical case study for a global IT company, Cisco Systems as one of successful example firms in M&As. This empirical study is based on 57% (164 cases) out of Cisco M&A transactions over 26 years since 1993. The results of the research positively support Target’s capability and Path dependency to Acquirer’s absorption while negatively support to Acquirer’s capability and unexpectedly, shows no effectiveness of moderating on Transaction values.
