인적분할을 통한 지주회사 전환이 기업가치와 소유구조 변화에 미치는 영향
The Effect of Transforming into Holding Companies through Spin-offs on Firm Value and Ownership Structure

본 연구는 인적분할을 통해 지주회사 구조로 전환한 기업의 지주회사 전환 전후 기업가치및 소유구조의 변화를 분석하였다. 인적분할을 통해 설립된 지주회사로서 전환 이후 3년이상 생존한 기업들로 제한하여 74개 기업, 즉 37개의 지주회사와 37개의 사업회사 쌍을대상으로 하였다. 시장대비 가중평균수익률을 분석한 결과, 전환 직후 1일에 시장 대비음의 수익률을 보였으나 이후에는 단기 및 장기적으로 유의한 차이가 존재하지 않아 주가성과가 낮아진 증거를 찾을 수 없었다. 또한 지주회사 전환으로 인한 소유구조의 변화를개인대주주와 일반주주로 구분하여 검토하였다. 사업회사의 대주주지분율에서 지주회사의 사업회사 지분을 차감한 개인대주주의 지분가치와 비교한 결과, 지주회사 전환 이후선행연구와 마찬가지로 개인대주주의 지분가치가 증가하였다. 그러나 동일한 기간 일반주주의 지분가치 역시 증가하였으며, 주주 간 차등효과는 통계적으로 유의하지 않은 것으로 나타났다. 이는 일반주주의 이익을 희생하여 대주주의 가치만이 증가하였다는 기존연구와 상반되며 지주회사 전환으로 모든 주주의 가치가 증대될 수 있음을 의미한다.
Abstract
This study examines the effect of transforming into holding companies through spin-offs on long-term excess stock return and ownership structure. Based on the holding company data of Korean Fair Trade Commission and FnGuide DB in 2017, we analyze with 37 holding company structure in Korea stock market. First, we find that weighted average excess return is negative compared to the market at Day 1 after the transformation. However there is no significant difference in return with the market from Day 2 to three years later. We cannot find the evidence that the performance of holding company structure in the stock market is lowered in short term and long term. Next, we compare stock valuation across shareholders in order to examine the existence of differential effect of transformation. We exclude the shares of holding companies when calculating the ownership of the major shareholders for reflecting the ownership regulation on holding companies. Stock value of both major shareholders and minority shareholders are increased after the transformation contrary to prior studies. It implies that the transformation would not exploit minority shareholders but can benefit all shareholders.
