대중문화예술인 표준전속계약서의 개정 방향

계약의 당사자 모두 동일한 지위에서 계약을 체결하여야 한다는 계약의 기본 원칙에도 불구하고 현실에서 계약당사자가 모두 동등한 지위를 갖는다는 것은 그리 간단한 문제는 아니다. 계약 당사자 일방이 현실적으로 우월성을 보유할 수 밖에 없는 대중문화예술인 전속계약에서는 계약 당사자 간 동등한 지위의 전제란 더욱 보장받기 어려운 문제이다. 최근이러한 문제를 해결하기 위해 표준계약서의 활용이 중요한 수단으로 인식되고 있으며, 대중문화예술인 전속계약 역시 가수와 연기자를 대상으로 한 표준전속계약서가 활용되고 있다. 그런데 현재 시행중인 표준전속계약서는 기획업자와 대중문화예술인 각자의 입장이 계약서에 반영되는 과정에서 다소 균형을 갖추지 못할 뿐 아니라 계약내용의 정합성 측면에서도 다소 정비가 필요하다는 지적이 제기되고 있다. 이와 같은 표준전속계약서의 정비를 위해 본 연구에서는 대중문화예술인 표준전속계약에 관하여 그간 논의되어 오던 쟁점과 현행의 표준전속 계약서 규정을 검토함으로써 적절한 개정 방안을 제시하고자 하였다. 특히 계약내용을 정비함에 있어서 첫째, 계약당사자 간 지위의 우열이 상당히 나타나는 현실에서 이들 사이의 균형을 효과적이고 실질적으로 구현할 수 있도록 하여야 한다는 점，둘째, 기존의 계약내용이 어느 정도 현실의 합의점임을 고려하여 개정에 따른 논란과 이를 통해 얻을 수 있는 공익을 비교하여 필요 시 현실에 절충을 할 필요가 있다는 점을 판단의 전제로 삼았다. 이에 구체적으로는 대중문화예술인 표준전속계약의 전속계약의 최대 기간 문제, 지식재산권 등의 보호 문제, 수익의 분배 문제, 전속료 지급 문제, 계약의 해지 • 해제 문제, 위약벌 문제, 제3자 계약 체결 시 전속 대중문화예술인의 동의 문제를 검토하고 개선 방안을 제시하였다.
Abstract
One of the contracfs basic principles is that all parties should enter the contract on equal footing, but achieving such equality is quite challenging. The principle is more difficult to maintain in exclusive contracts for entertainers because one party holds a superior position. Thus, standard contracts are regarded as an important tool to address this issue. Many entertainers -primarily singers and actors - also rely on the standard exclusive contract. However, its current version has inconsistent provisions and lacks balance in reflecting the positions of agencies and entertainers. To improve the standard exclusive contract for entertainers, this study reviews the contracfs issues and provisions, and proposes measures for improvement. In proposing revisions, this study stands on two premises: first, given the sizable gap in negotiating positions that exist between agencies and entertainers, the standard exclusive contract should strike a balance between the parties in an effective and meaningful way, and second, as the current version of the contract reflects a realistic point of agreement to a certain degree, a revision to the standard contract needs to be adjusted by balancing the benefits of the revision against possible controversy. Specifically, this study discusses and proposes improvements for the following issues: the maximum contractual term, intellectual property rights protection, earnings distribution, entertainer's compensation, contract termination, breach of contract penalty, and the entertainer's consent for contracts with third parties.
