상장기업의 소유구조와 정보비대칭이 기업가치 및 위험에 미치는 영향

초록
본 연구는 지배구조와 정보비대칭과 관련한 기존 연구 및 이론적 배경을 바탕으로 소유구조, 기업지배구조 점수, 공매도거래 및 사적정보수준이 기업가치와 기업위험에 어떠한 영향을 미치는지 분석하였다. 본 연구의 주요 결과는 다음과 같다. 전반적으로 최대주주지분율은 기업가치, 기업위험에 음(-)의 영향을 미치는 것으로 나타났으며, 외국인 투자자 지분율은 전반적으로 기업가치에 양(+)의 영향을 미치고, 기업위험에는 음(-)의 영향을 미치는 것으로 나타났다. 이는 각각 이익침해가설과 효율적감시가설을 지지하는 결과로 볼 수 있다. 하지만 기업별 특성에 따라서 이러한 결과가 상반되어 나타나기도 하였다. 또한 공매도거래비율과 개별 기업의 rsqr()는 기업 특성에 따라 기업가치에 미치는 영향이 상반되어 나타난 반면 체계적위험에는 전반적으로 양(+)의 영향을, 기업고유위험에는 전반적으로 음(-)의 영향을 미치는 것으로 나타났다. 본 연구는 기존 소유구조 및 기업지배구조, 정보비대칭성과 관련한 이론들을 정리하였고, 기존 연구들을 보완하는 실증 분석결과를 제시하였다. 또한 기업가치 중심의 연구에서 기업위험을 고려한 분석으로 연구의 방향성을 확장하였고, 기업의 재무적 의사결정과정에서 고려될 수 있는 분석 결과를 제시하였다는 것이 본 연구의 주요 성과라 할 수 있다.
Abstract
There have been many researches exploring the factors affecting corporate value, and studies related to corporate governance and ownership structure have been continuously carried out. Also, there are researches that the effect of corporate governance on corporate value differs according to the information asymmetry level of firms. This study analyzed the effects of ownership structure variables, information asymmetry variables, and corporate governance evaluation on firm value. This study also analyzed the relationship between explanatory variables related to ownership structure and information asymmetry and corporate risk. Therefore, it is meaningful that we extended the direction of existing research which was centered on corporate value. As a result of analysis, because the variables used in this study have a significant effect on firm value and corporate risk, it is necessary to be careful to make decisions related to ownership structure, governance structure and information asymmetry issues.
