[연구목적] 기술특례상장은 시장진입 및 퇴출에 있어 일반상장에 비하여 완화된 규정이 적용되는 대신 외부의 평가기관으로부터 기술성을 검증 받아야만 상장 신청이 가능하기 때문에 기술특례상장의 신규공모주 할인은 일반상장과 다를 수 있다. 본 연구는 최근 코스닥시장에서 신규상장을 주도하고 있는 기술특례상장의 신규공모주 할인이 일반상장과 차이가 있는지 살펴보는 것을 목적으로 한다. [연구방법] 본 연구의 표본은 기술특례상장이 신설된 2005년부터 2019년까지 코스닥시장에상장된 739개 비금융기업이다. 본 연구는 다중회귀분석을 이용하여 기술특례상장과 일반상장의 신규공모주 할인에 유의한 차이가 있는지 검증한다. [연구결과] 분석결과 기술특례상장이 일반상장에 비하여 신규공모주 할인이 덜한 것으로 나타났다. 이러한 실증결과는 기술특례상장기업에 대한 외부기관의 평가가 신규공모기업과 투자자간 정보비대칭을 감소시켜 신규공모주 할인을 낮추는 보증역할을 하고 있음을 시사한다. [정책적 시사점] 본 연구는 혁신기업이 기술특례상장제도를 통해 더 적은 할인으로, 보다 용이하게 투자자금을 조달하게 하기 위해서는 감독당국이 기술특례평가의 신뢰도를 높일 필요가있다는 정책적 시사점을 제공한다.
Abstract
[Purpose] The technology special listing facilitates innovative companies that are not yet profitable to enter the capital market. The purpose of this study is to compare the IPO underpricing of technology special listing with that of the general listing in the KOSDAQ market. [Methodology] Our sample consists of 739 non－financial IPO firms listed on the KOSDAQ market from 2005 to 2019. We use regression analyses to test the difference in IPO underpricing between technology special listing and general listing. [Findings] Our findings show that IPO underpricing is less severe in technology growth companies than in general IPO firms. It implies that the evaluation of specialized assessment institutions alleviates IPO underpricing by lowering information asymmetry between potential investors and IPO firms. [Policy Implications] This study provides policy implications that the supervisory authority needs to increase the reliability of the technology evaluation in order to make it easier for innovative companies to raise investment with less discount through the technology special listing.
