초록
2020년 상법개정은 다중대표소송 도입, 감사위원 1인의 분리선출제 도입, 감사/감사위원 선임시의 의결정족수 완화, 제350조 제3항의 삭제에 따른 정기주주총회 개최일의 유연화, 소수주주권 행사요건의 명확화 등의 내용을 담고 있다. 이 논문에서는 이들 주요 개정조문에 대한 해석론을 전개하고 관련된 실무상 쟁점을 분석하였다. 다중대표소송과 관련하여서는 그 본질을 “피해회사(피고가 손해를 가한 회사)의 손해배상청구권을 소송상 행사할 수 있는 자격을 피해회사의 모회사의 주주에게까지 확대한 것”으로 이해하고, 피해회사의 직접소송, 그 주주의 대표소송, 그 주주의 주주의 이중대표소송의 소송물이 동일하다는 점에 착안하여 중복제소, 기판력, 소송참가 등의 문제를 분석하였다. 감사위원 선임과 관련하여서는 주주제안과 이사회의 제안이 경합하는 경우의 해결방안을 논증하였다. 제350조 제3항 삭제와 관련하여서는 의결권기준일을 상장회사 표준정관이 정한 것보다 더 과감하게 뒤로 미루고, 배당기준일은 의결권기준일과 별도로 정하여 배당결의일 뒤로 미루는 실무상의 운용을 제안하였다.
Abstract
The 2020 Amendment to the Korean Commercial Code deals with several issues: introducing multiple derivative actions, mandating separate election of a audit committee member under the 3% rule, increasing flexibility in setting the date of annual shareholders’ meeting, and lowering threshold for minority shareholder rights. This article explains and interprets key provisions of the 2020 amendment, presents practical issues arising out of the amendment, and analyzes such issues. Regarding multiple derivative action, this article analyzes how to solve the situation when overlapping claims are filed by way of double derivative action, simple derivative action, and direct action by the company. Regarding the 3% rule in electing audit committee members, this article presents a solution when more candidates than the vacant seats are proposed by the shareholders and the board of directors. This article also proposes separating the record date for the voting rights and the record date for dividend.
