개정 공정거래법상 CVC(기업형 벤처캐피탈) 관련 규정에 대한 평가와 전망

지난 2020년 12월에 개정된 공정거래법의 내용 가운데 수범자들의 관심과 기대를 끄는 변화의 하나가 일반지주회사 내에 corporate venture capital(hereinafter, ‘CVC’)의 설립을 허용한 점이다. 이 규정은 여러 논란과 조정을 거친 끝에 마침내 법 제20조에 마련되었는데, 지주회사가 금융자회사로서 CVC를 둘 수 있도록 하는 것을 내용으로 한다. 하지만 동시에 CVC의 자금조달, 투자, 사업영역에 대하여 적지 않은 수준의 제한조치들이 마련되어 있다. 금산분리 원칙의 훼손이라든지, 경제력 집중 및 사익편취의 가능성을 감안하여 그 같은 우려를 차단하거나 최소화하려 하였기 때문이다. 따라서 이번 법 개정이 당초 취지대로 벤처기업 및 창업투자의 활성화에 얼마나 기여할 것인지는 좀 더 지켜보아야 하나, 향후 성과 및 과제에 대한 진단을 위해서는 이번에 신설된 규정의 법리적 의미와 특징, 한계를 분석할 필요가 있다. 이 글에서는 공정거래법상 CVC 관련 규정에 대한 기대감과 한계 의식이 공존해 있는 상황에서 현행 규정에 내재된 다양한 고려 요소들이 어떤 방식으로 입법에 영향을 미쳤고, 그 결과 2021년 12월부터 허용될 CVC의 운영과정에서 제기될 수 있는 법적 이슈들이 어느 지점에 포진해 있는지를 진단하고 그 분석 결과를 제시하였다.
Abstract
Among the contents of the Fair Trade Act revised in December 2020, one of the changes that attracts the attention and expectations of talented people is that it allowed the establishment of a corporate venture capital (hereinafter, "CVC") within ordinary holding companies. The regulation was finally prepared in Article 20 of the Act after various controversies and adjustments, which would allow holding companies to establish CVCs as financial subsidiaries. At the same time, however, there are considerable levels of restrictions on CVC funding, investment and business areas. This is because the government tried to block or minimize such concerns in consideration of the impairment of the principle of separation of financial and industrial capital or the possibility of concentration of economic power and private interests. Therefore, we need to wait and see how much the revision of the law will contribute to the revitalization of venture companies and start-up investments as originally intended. In this context, this article examined how various considerations inherent in the current regulations affected legislation in the context of expectations and limitations of CVC-related regulations under the Fair Trade Act, and where legal issues might arise during CVC's operation to be allowed from December 2021.
