CISG 인용지표 분석과 계약당사자의 책임체계에 관한 법적 기준

초록
본 연구는 그간 CISG가 적용된 국내 및 국외 법원의 판결례의 인용지표를 분석하고 CISG 인용빈도별 우선순위에 따라 해당 조문을 선별한 후 이를 계약당사자의 책임체계로 병합하여 각각의 조문에 관한 법적 기준을 추론한 논문이다. 이로부터 국제물품매매계약에 임한 상거래계에 있어 특단의 분쟁을 예방할 수 있는 예견 가능성과 법적 안정성 제고를 목적에 두었다. CISG의 공식기관지로서 UNILEX 상위 인용빈도를 기준으로 선별한 CISG 유관조문을 구분하면 총 7개 조문으로 대별할 수 있는데 이들 조문에 관한 올바른 이해는 국제상사계약에서의 분쟁에 선제적으로 대응할 수 있을 뿐만 아니라 국제상사계약 실무계의 역량을 발휘할 수 있는 계기로 기능할 수 있다는 시각에서 그 의미를 부각할 수 있다. 선별 조문은 CISG 조문 순서에 따라 ‘적용사항과 비적용사항’(제4조), ‘해석원칙’(제7조), ‘물품의 계약적합성’(제35조), ‘계약부적합의 통지’(제39조), ‘매수인의 계약해제권’(제49조), ‘손해액 산정의 일반원칙’(제74조), ‘연체금액의 이자’(제78조) 등이다.
Abstract
The purpose of this study is to the analysis of citation index and legal bases of contractual responsibility in CISG provisions that are determined there under in order to provide academic implication to enhance the appropriate utilization thereof. The result of this study is to promote the right understanding of CISG in applying to international commercial contracts and furthermore to improve the legal stability and predictability on legal issues which are predictability from the appli- cation of CISG. The purpose of this study is, by focusing on the legal basis on under CISG, to legal implication and attention points through the evaluation with the CISG cases in terms of interpretation of the CISG and its application and to preserve the benefit of securing the reasonable understanding of the trade communities for international commercial contract based on such inference and furthermore to preserve the legal and practical advantages according with such benefit. There are total of 7 articles of CISG adopted in this study. The legal bases for the selected CISG articles are application or non-application (article 4), interpretation of CISG(article 7), conformity of good(article 35), lack of conformity of the good and notice(article 39), avoidance right of contract by seller(article 49), calculation of damages(article 74), interest(article 78) and so on.
