최근 ‘공정경제’ 관련 입법에 따른 기업지배구조 제도 변화에 관한 검토

Recently, the government emphasized that 'corporate governance improvement and establishment of a fair market order' are the foundations of fair economy, and pushed for commercial act, monopoly regulation and fair trade act, financial corporate group supervision act as ‘Three laws of Fair Economy’. In addition to the ‘Three laws of Fair Economy’, recently for several years there have been many institutional changes that can affect corporate governance through administrative legislation, such as enforcement decree and public notice. This paper comprehensively examined institutional changes that influenced corporate governance, such as general shareholders' meeting, board of directors, audits among the contents of recently promoted Enactment and Amendment of Laws and Regulations, such as Act, Enforcement Decree and Announcement. However, as there are various institutional changes, there are limitations in the amount and depth of research to deal with them in depth, so the evaluation and tasks of each institutions were briefly presented, with the significance of organizing and introducing them by issue.
