기업지배구조는 다양한 이해관계자들과의 관계에서 발생할 수 있는 갈등 요소들을 해소하고 협력적인 관계 구축을 통해 효과적인 기업 활동과 성과 향상을 도모하기 위한 전략실행 단계의 핵심적인 요소이다. 따라서 경영학을 포함한 다양한 사회과학 분야의 중요한 연구 주제가 되어왔고, 연구의 범위와 세부 연구주제들은 경영환경 변화에 따른 영향을 받아왔다. 특별히 최근 들어 기업의 사회적 책임과 ESG 활동에 대한 이해관계자들의 요구와 지속가능경영의 중요성이 강조되면서, 기업지배구조의 역할과 범위가 확대되고 있다. 따라서 지배구조 분야의 연구들에 대한 포괄적 검토와 분석을 통해 이해관계자 자본주의 관점에서 이뤄져 온 기업지배구조 분야의 연구현황을 검토하고, 전략경영 분야의 기업지배구조 연구에 대한 발전 방향을 제시하는 것은 매우 중요한 의미를 가질 것이다. 이와 같은 필요성과 연구목적에 따라 본 연구는 국내 KCI 문헌 데이터에서 검색한 22년간(1998부터 2020년까지)의 총 173건의 관련 문헌들을 연도, 주제, 주요 키워드, 이론, 연구 방법, 변수, 국가 및 산업 등을 기준으로 구분하여 탐색한 결과와 이에 기초한 발전 방향을 제시하였다.
Abstract
Corporate governance is a key component of the strategy implementation to address conflicts that may arise from the relationships among various stakeholders and to promote effective corporate activities through cooperative relationships. Therefore, it has been an important research topic in various social science fields of business and law although detailed subjects of the research have continued to change depending on the business environment. The role of corporate governance has been emphasized and expended to more diverse stakeholders as social needs and interests in sustainable management have expanded in recent years. Therefore, reviewing the status of corporate governance research from stakeholder capitalism perspectives through a comprehensive review and analysis of studies in the field of governance will have significant implications. Based on the literature review of 173 corporate governance literatures searched by keywords of corporate governance and various stakeholders in KCI literature data over 22 years (1998 to 2020), this study presents the implications for future research of sustainable management.
