ESG 관리를 위한 공급망 계약과 사례 연구 : ABA 모델 계약 조항과 OECD 다국적기업 가이드라인을 중심으로

If there is one factor that companies should pay attention to implementing ESG, the most favored trend in 2021, it would be supply chain management. In the trend of legislating ESG management in supply chains in many countries around the world, it is highly suggestive that the recent survey on the status of supply chain ESG awareness and cooperation conducted by the Korea Chamber of Commerce and Industry presented “providing guidelines for each industry sector” as the most necessary policy task to promote ESG cooperation in the supply chain. This study aimed to introduce the ABA Model Contract Clauses(MCCs), which are useful tools for Korean companies to implement supply chain ESG management through supply chain contracts. This MCCs which provide legal enforcement by integrating the ESG policies established by companies into their supply chain contracts are groundbreaking. In addition, since the OECD uses the term Responsible Business Conduct(RBC) and provides due diligence guidance for various industry sectors for ESG management, this paper explores OECD Guidelines for Multinational Enterprieses which is widely recognized as the basis of RBC, in terms of supply chain management and introduces related cases. This study is not only practical as it can meet the needs of companies, but also contributes to expanding the boundaries of academia by suggesting how trade contracts, one of the pillars of International commerce and law, are combined with the ESG phenomenon.
