‘알라푸드 협동조합’ 정관의 특징과 시사점에 대한 검토

Arla Foods Amba is a cooperative owned by farmers working in the dairy-business in several countries of northern Europe, whose headquarter is located in Denmark. Denmark has no law regulating cooperatives. So, all the issues related with Arla Foods Amba’s operation are not regulated by heteronomous-norms (laws, orders, etc) but by autonomous-norms (articles of association, regulations, etc). Especially, the articles of association has very important meaning as the utmost autonomous-norm. This paper aims to review the contentual characteristics of the Articles of Association of ‘Arla Foods Amba’ and search for useful implications for the development of Korean cooperative systems by studying comparatively with Korean Agricultural Cooperatives’ cases. After presenting Arla Foods Amba’s outline, this paper described the characteristics & implications (aspect of regulating method and object, aspect of governance, aspect of business and operation) and proposed comprehensive review opinions. Some significant suggestions are as belows; adoption of systematic governance enabling ‘separation of ownership and management’ and ‘checks and balances among cooperative’s bodies’. strengthening delivery obligations of members, adoption of efficient operating system, relaxation of excessive regulation, etc.
