사업구조 변화가 기업가치에 어떻게 영향을 주는가?: 글로벌기업으로부터 증거

본 연구에서는 미국 발 금융위기 이후 많은 다국적 기업들이 사업구조 변화를 시도하였는데 이러한 시도가 기업가치에 어떻게 영향을 주고 있는지를 2007년 기준으로 포브스(Forbes)에서 선정된 2,000대 기업 중에서 시가총액이 높은 상위 1,000 대 비 금융기업을 대상으로 실증 분석 하였다. 기업들은 2008년 미국 발 글로벌금융위기 이후 지속가능한 경영과 기업 가치를 향상시키기 위해 글로벌 기업들은분사와 합병, 그리고 사업부 매각 등의 사업구조를 개편하였다. 이러한 사업구조개편이 기업 가치에 어떻게 영향을 주고 있는지 사업구조 개편 형태에 따른 실증결과를 제시한다. 본 연구의 실증 분석 결과는 다음과 같다. 첫째, 로지스틱회귀분석 결과 가치창출 기업으로 될 확률에 영향을 주는 사업구조 변화 요인에서 비관련다각화를 시도한 기업들이 통계적으로 유의하게 영향을 주었지만, 반면 기존 사업중심의 M&A활동과 쇠퇴 및 침체기를 경함한 기업 및 재무곤경 기업들이 가치창출군으로 될 가능성이 낮았다. 둘째, 사업구조변화 유형이 기업가치에 어떻게 영향을 주는지 회귀분석한 결과에서는 사업구조 변화 유형(환골탈태형 및 비관련다각화)은 기업가치에 통계적으로 영향을 주지 못한다는 증거를 발견하였고, 반면 기존 M&A, 짧은 업력 기업, 재무곤경 경험기업, 연구개발이 낮은 기업들에서 기업가치가 감소한다는 증거를 발견하였다. 이러한 결과들은 글로벌기업의 사업구조변화 전략에 많은 시사점을 줄 것으로 기대한다.
Abstract
This study investigates whether the restructuring of global non financial firms affects the value of firm after financial crisis of U.S.A. using the sample of 1,000 firms among 2,000 firms of Forbes based on the 2007 year. The firms try to change the their firm structure to keep going the sustainable business as the type of merge, divestitures and spinoff. It empirically finds the evidence that this restructuring affects the firm value. The results are as follows: First, using the logistic regression analysis, we find that the probability to making the value create firm group is affected from unrelated diversified firm, but is not influenced by old M&A, stall and recession and financial distress firm. Second, the empirically evidence documents that using the regression analysis, change type does not affect to firm value, but old type of M&A, short age, financial distress; and less R&D influences to firm value. This results imply that the strategy of restructuring gives many implication to global firms.
