지난 2020년에 공정거래법에 도입된 기업형 벤처캐피탈(CVC) 허용의 본래 취지는 금융규제의 완화를 위한 것이었지만, 주지하다시피 입법을 위한 논의 과정에서 경제력 집중의 우려가 지속적으로 제기되면서 외국에서 유사 입법례를 찾기 어려운 각종의 규제들이 중첩적으로 강구되기에 이르렀다. 현 시점에서는 과연 벤처업계나 지주회사에서 CVC에 대한 경제적 기대효과를 어떻게 인식할 것이며, 법 집행기관의 제도운용 기조는 또 어떠할 것인지를 가늠하기가 쉽지 않은 상황이다. 그 이유로는 무엇보다 제도의 입법 과정에서 미비한 부분들을 남겨 놓은 점을 들 수 있다. 이 논문에서는 공정거래법상 지주회사의 CVC 보유 허용 규정상 모호하거나 입법적 불비로 비쳐지는 부분 가운데 특히 투자조합의 구성에 관한 법 제20조 제3항에 대한 문제점을 짚어보고 해석론을 전개하였다. 이를 토대로 논문에서는 규제의 일관성과 수용성을 높이기 위해서는 규정의 문언에 충실한 법해석 기조를 유지하는 것이 바람직하며 현행 규제에 입법적 미비점으로 느껴지는 부분이 없지 않지만 이를 차후 법제적 과제로 설정할 필요가 있다는 결론을 내렸다.
Abstract
The introduction of CVC under the Fair Trade Act was intended to ease regulations, but as concerns about concentration of economic power continued to be raised, various regulations that were difficult to find similar legislation in foreign countries were overlapped. As a result, it is not easy at this point to estimate how the venture industry or holding companies will recognize the economic expected effect of CVC, and what the legal enforcement agency's system management stance will be like. The reason for this is that, above all, deficiencies have been left in the legislative process of the system. Accordingly, in this paper, among the ambiguous or legislative deficiencies in the regulations allowing holding companies to hold CVC under the Fair Trade Act, the problems of Article 20 (3) 4 of the Investment Association Act were pointed out and the interpretation was developed. In order to increase the consistency and acceptability of regulations, it is desirable to maintain a legal interpretation stance faithful to the text of the regulations, and it is necessary to set it as a legislative task in the future.
