초록
본 연구에서는 지배주주의 초과지배권이 가족통제기업의 가치에 미치는 영향을 분석하였다. 또한 가족통제기업에 있어 지배가족 구성원의 경영참여 여부가 초과지배권과 기업가치 간의 관계에 미치는 영향을 분석하였다. 분석기간은 2010년부터 2021년까지이다. 표본기업은 한국거래소 유가증권시장과코스닥시장에 상장된 기업으로 12월 결산법인 비금융업종 기업 총 20,644개(기업- 연도)이다. 분석방법으로는 패널자료회귀분석법을 사용하였다. 실증분석 결과를 요약하면 다음과 같다. 첫째, 한국기업에서 지배주주의 초과지배권이 커지면 지배주주에 의한 안주효과가 크게 나타나서 기업가치가 감소한다는것을 알 수 있었다. 둘째, 한국기업에서 가족통제는 소유와 경영의 분리에서 발생할 수 있는 대리인문제를 완화시키고, 지배가족이 보유한 독특한 자원과 능력을활용함으로써 기업가치를 높이는 효과를 가져 온다는 것을 알 수 있었다. 셋째, 가족통제는 초과지배권과 기업가치 간의 관계에 조절효과를 갖는다는 것을 확인하였다. 지배주주의 초과지배권이 기업가치에 미치는 부정적인 영향이 가족통제기업의경우 더 확대된다는 것을 알 수 있었다. 넷째, 한국의 가족통제기업에서는 초과지배권과 기업가치 간의 관계에 지배가족 구성원의 경영참여 여부가 영향을 미친다는 증거는 확인할 수 없었다. 한국의 가족통제기업의 경우 지배가족이 기업의 경영의사결정을 실질적으로 지배하고 있기 때문에 지배가족 구성원의 경영참여 여부는 기업가치에 영향을 미치지 않는 것으로 이해되었다.
Abstract
This study analyzed the effect of controlling shareholders' excess control rights on the value of family-controlled firms. In addition, we analyzed that the effect of management involvement of the controlling family on the relationship between excess control rights and corporate value in family-controlled firms. The empirical analysis results are as follows. First, it was found that the corporate value decreases when the excess control rights of the controlling shareholder increases. Second, it was found that family control in Korean firms has the effect of increasing corporate value. Third, it was confirmed that family control had a moderating effect on the relationship between excess control rights and corporate value. It was found that the negative effect of the controlling shareholder's excess control rights on the corporate value is more enlarged in the case of family-controlled firms. Fourth, in Korean family-controlled firms, there was no evidence that the management involvement of members of the controlling family had an effect on the relationship between excess control rights and corporate value.
