초록
채무자 회생 및 파산에 관한 법률 제335조에 따르면, 파산관재인은 쌍방미이행 쌍무계약을 해지할 수 있는데, 공법상 계약인 민간투자사업 실시협약도 위에서 말하는 쌍방미이행 쌍무계약에 해당하여 파산한 사업시행자의 파산관재인이 이를 해지할 수 있는지 문제가 된다. 대상판결의 다수의견은 사업시행자와 국가 또는 지방자치단체의 관계는 공법적 성격을 가진 법률관계이고, 사회기반시설을 완성한 이후에는 국가 등이 사업시행자에게 관리운영권을 설정해주어 상호 대등한 대가관계에 있는 채무로서 서로 성립 ‧ 이행 ‧ 존속상 법률적 ‧ 경제적으로 견련성을 갖고 있어서 서로 담보로서 기능하는 채무의 이행을 완료하였다면서, 실시협약이 쌍방미이행 상태에 있지 않아 사업시행자의 파산관재인은 이를 해지할 수 없다고 하였다. 그러나 국가 등은 사업시행자로 하여금 사회기반시설을 운영할 수 있도록 협조할 의무를 부담하므로, 사회기반시설이 완성된 이후에도 실시협약은 쌍방미이행 쌍무계약에 해당한다고 보아야 한다. 다만 공역무 계속성의 원칙을 고려하여 특정 사회기반시설에 관한 실시협약에 있어서는 그 해제권 행사가 권리남용에 해당한다고 제한된다고 보아야 할 것이다.
Abstract
According to Article 335 of the Debtor Rehabilitation and Bankruptcy Act, the bankruptcy trustee can terminate an executory contract, and the issue is whether public-private partnership(PPP) concession agreement is an executory contract and the bankruptcy trustee of concessionaire can terminate it. The majority opinion of th ruling states that the legal relationship between the concessionaire and the government has public law characteristic, and that if the government grants the concessionaire the rights to manage and operate the built-up infrastructure, completing the performance which is not causing material breach of the PPP concession agreement, so the bankruptcy trustee of concessionaire cannot terminate the agreement. However, since the government is obligated to cooperate with the concessionaire to operate the infrastructure, the PPP concession agreement should be considered as an executory contract even after the infrastructure is built up. Considering the continuity of public service, the termination of PPP concession agreement on some infrastructures providing public service should be limited as an abuse of right.
