마이크로소프트의 블리자드 인수 합병 관련 영국 경쟁시장청(CMA) 결정의 제도적 시사점

영국 경쟁당국(CMA)은 마이크로소프트(Microsoft)와 블리자드(Blizzard) 기업결합을 심사하면서 당해 결합된 기업(the Merged Entity)이 경쟁과 소비자의 이익을 저해할 수 있는 여러 개의 시나리오를 제시하였다. 그 시나리오들 모두에 적용된 요소가 네트워크 효과와 블리자드의 인기 게임 콘텐츠(특히 콜오브듀티, CoD)의 중요성이다. 예컨대, 이 두 가지의 전제가 작동하지 않는다면 마이크로소프트(Microsoft)가 해당 시나리오들대로 블리자드의 콜오브듀티(CoD)를 이용하여 전체 또는 부분 배제 전략을 사용할 능력(ability)과 유인(incentive)이 없을 수 있으며 설령 사용하더라도 경쟁과 소비자 이익에 미치는 영향이 우려할만한 수준이 아닐 수 있다. 따라서 우리나라 공정위는 현재 진행 중인 동 건 기업결합 심사 시 위의 CMA 결정을 참고하되 우리나라 관련 시장에서 마이크로소프트(Microsoft)의 지위와 블리자드 게임 콘텐츠의 인기 정도를 면밀하게 조사·검토할 수 있을 것이다. 또한 CMA의 「기업결합 평가기준(Merger Assessment Guidelines)」상 네트워크 효과와 동태적·장기적 유인(incentive) 분석에 관한 구체적 조항을 우리나라의 현행 「기업결합 심사기준」 개선 시 참고할 수 있을 것이다.
Abstract
In investigating the acquisition by Microsoft Corporation of Activision Blizzard, Inc., the UK Competition Authority (Competition & Markets Authority, CMA) presented several scenarios in which the merged entity could harm competition and consumer interests. The factors applied to all of those scenarios are the network effects and the importance of Blizzard's game franchises (especially Call of Duty, CoD) popularity. For example, if these two premises do not work, Microsoft may not have the ability and incentive to use full or partial foreclosure strategies, and even if used, the impact on competition and consumer interests may not be competition concerns. Therefore, the Korea Fair Trade Commission (KFTC) will be able to closely investigate and review Microsoft's position in Korea's relevant markets and the popularity of Blizzard game content while referring to the above CMA phase 1 decision during its review. In addition, when the KFTC updates its guideline for merger review for the digital market, the paragraphs about network effects and incentives analysis based on long-run dynamics that the CMA applied in the ‘Merger Assessment Guidelines’ updated on March 2021 could be referenced as well.
