국제상사계약에 관한 통일규범의 조화와 현대화에 관한 연구: UNCITRAL, HCCH, UNIDROIT 법률 지침(2020)을 중심으로

20C는 시대의 요구에 부응하여 무역계약에 관한 다양한 국제통일규범이 마련된 시기이다. 이 시기 1980년 채택된 CISG와 함께 국제기구가 마련한 계약 관련 법률문서는 다양하다. CISG의 공백을 보완하기 위한 UNIDROIT Principles과 CISG 논외 사항을 규정하는 Limitation Convention과 Electronic Communications Convention, 그리고 당사자 자치의 원칙에 관한 HCCH Principles 등이 있다. 이들 규범은 분명 안정적이고 예측 가능한 국제무역의 확산에 기여했다. 한편 한 세기 동안 제반 무역 환경이 변화하면서 통일규범 간 조화와 현대화에 대한 요구가 제기되고 있다. 이에 UNCITRAL, HCCH 그리고 UNIDROIT은 2020년 CISG 채택 35주년을 기념하여 「국제상거래에서 통일규범에 관한 UNCITRAL, HCCH 그리고 UNIDROIT 지침(2020)」을 발간하였다. 본 고는 지침을 통해 다양한 국제통일규범 간 적용의 조화와 현대화의 의미를 고찰하면서 학계ㆍ법조계ㆍ실무계에서 국제거래에 관한 통일규범의 채택, 사용 및 통일된 해석에 관한 공통된 기준을 제시하고자 한다.
Abstract
The CISG adopted in 1980, UPICC, Limitation Convention, Electronic Communications Convention, and HCCH principles are uniform Instruments for international commercial contracts. These norms have contributed to the spread of stable and predictable international transactions. Meanwhile, commercial parties, lawyers, judges, arbitrators, academic researchers and legislators interested in adopting, applying or interpreting that vast legislative corpus may face challenges in identifying the relevant texts and placing them in context. UNCITRAL, HCCH, and UNIDROIT have prepared 「UNCITRAL, HCCH and Unidroit Legal Guide to Uniform Instruments in the Area of International Commercial Contracts(2020)」 to clarify the relationship among the texts and promote adoption, use and uniform interpretation. The guide offers an overview of the uniform law instruments in the area of international commercial contracts. This study, based on the UNCITRAL Legal Guide, examines the meaning of harmonization and modernization among international uniform instruments, and presents common standards for adopting and interpreting texts to be applied to international commercial contracts to parties related to international commercial transactions.
