초록
이 글은 2022년에 성립한 회사법 판례 중 검토될 의미를 갖는 판례 9개를 모은 것이다. 관련 법리가 적용되어 처음 판례로 성립한 사례, 원심과 견해가 달라서 그 차이에 대한 검토가 필요한 사례 및 법규 해석이 불명확하여 이를 명확히 할 필요가 있는 사례 등을 검토하였다. 이 글에서 검토된 판결은 ‘주식양도 제한에 관한 약정의 효력에 관한 대법원 2022. 3. 31. 선고 2019다274639 판결’, ‘주권발행 전 주식양도계약의 해제와 주식 소유권의 귀속에 관한 대법원 2022. 5. 26. 선고 2020다239366 판결’, ‘퇴임이사의 이사지위 확인이익에 관한 대법원 2022. 6. 16. 선고 2022다207967 판결’, ‘유죄판결을 받은 퇴임이사가 이사회 소집결정 없이 소집한 주주총회결의의 효력에 관한 대법원 2022. 11. 10. 선고 2021다271282 판결’, ‘대규모회사 이사의 감시의무 위반에 관한 대법원 2022. 11. 10. 선고 2021다279347 판결’, ‘영업양도와 주주 및 채권자의 무효확인의 이익에 관한 대법원 2022. 6. 9. 선고 2018다228462, 228479 판결’, ‘정관의 지급조건을 충족한 경우 주주의 이익배당청구권에 관한 대법원 2022. 8. 19. 선고 2020다263574 판결’, ‘중간배당결의를 수정하는 이사회결의의 효력에 관한 대법원 2022. 9. 7. 선고 2022다223778 판결’과 ‘신주인수권부사채의 발행무효에 관한 대법원 2022. 10. 27. 선고 2021다201054 판결’이다.
Abstract
In 2022, a number of company law cases were published, and we reviewed nine of them, selecting cases that developed new legal doctrines with commercial law implications, and cases where there was a difference between the views of the trial court and the Supreme Court and it was necessary to review the legal doctrines that constituted the difference. The cases discussed in this article includes the following topics. Effect of covenants restricting the transfer of shares, Cancellation of share transfer agreements and vesting of shares prior to issuance of share certificates, Benefit of confirmation of directorship by retired directors, Validity of a shareholders' meeting convened by a convicted retired director, without a decision to convene a board meeting, Breach of duty of monitor by directors of a large company, Transfer of business and benefit of shareholders' and creditors' confirmation of invalidity, Dividend claims of shareholders if payment conditions in the articles of association are met, Validity of a board resolution to amend an interim dividend resolution and Invalidity of a warrants issue.
