2011년 EU에서는 사모펀드 규제를 위한 중요한 입법적 성과로서 “대체투자펀드 운용자에 관한 지침”(Alternative Investment Fund Managers Directive(이하 AIFMD))을 채택하였다. 2008년 금융위기 이후 EU에서는 금융시스템 전반에 대한 다양한 개혁이 진행되었으며 AIFMD의 채택은 그 일환이었다고 볼 수 있다. AIFMD는 자본시장법에 비해 몇 가지 점에서 타당한 입법으로 보인다. 이에는 운용행위에 대해 단일한 규제의 도입한 점, 진입장벽에 있어 요구되는 자본조건을 소규모 운용자에게 보다 융통성있게 허용하는 점, 공시 범위에 있어 개인투자자에 아니라면 모든 사모펀드에 공통된 규제를 조건으로 한 점, 사모펀드 운용자에게 요구되는 자본을 여러 기준에 따라 구분하고 그 50%까지 보험 또는 보증으로 대체할 수 있도록 조건을 완화한 점, 사모펀드의 위험관리로서 스트레스 테스트와 정기적으로 갱신된 심사를 이행하도록 규정하고 있는 점이 포함된다. 마지막으로 자본시장법상 가장 의문스러운 부분은 과연 사모펀드 구분을 그대로 유지할 필요가 있는가 하는 점이다. 사모펀드 자체는 일원화하고 투자자를 개인과 기관으로 구분하여 입법적 목적을 달리하여야 한다고 본다.
Abstract
In 2011, the EU adopted the Alternative Investment Fund Managers Directive(hereafter “AIFMD”) as an important legislative achievement for the regulation of Private Equity Funds(hereafter “PEF”). Since the 2008 financial crisis, various reforms have been carried out in the EU for the entire financial system, and the adoption of AIFMD was a part of it. AIFMD seems to be a valid legislation in several respects compared to the Korea Capital Markets Act(hereafter “KCMA”. For example AIFMD includes a single regulation frame on PEF, allows for small Managers to be more flexible in terms of capital requirements for entry barriers, requires same disclosure conditions to all PEF if not for retail investors, considers PEF to replace 50% of the capital requirement with insurance or guarantees, implements stress tests and regular reviews. Finally, the most questionable part of the KCMA is whether it is necessary to maintain the distinction between PEF. So I think that PEF in KCMA should be unified and investors should be divided into retails and institutions to achieve different legislative purposes in accordance with each.
