商业银行行政接管的法律规制研究

초록

商业银行行政接管是一种行政强制措施, 并不是一种新型的行政行为, 其伴随着我国《商业银 行法》诞生, 具有强制性、 非制裁性、 非处分性和临时性的特点。 由于商业银行的特殊性, 商业银行 行政接管制度诞生至今, 仅2019年出现了首例商业银行行政接管案例, 这也造成了《商业银行法》对 商业银行行政接管的规定, 基本上没有进行过修改。 直到出现包商银行接管案, 将商业银行行政接 管法律规制中存在的问题暴露出来。 商业银行行政接管法律规制仍然存在着接管主体不完善、 接管 法定条件不明确和接管组织职责规定不清晰的问题, 致使在商业银行行政接管过程中无法可依, 只 能根据国际经验来达到接管的目的, 这与建设法治社会的理念不符。 应当明确接管实施主体, 规范接管组成员的任职资格, 建立接管组责任承担机制。 将接管实施 主体限定于国家金融监督管理总局和存款保险基金管理机构, 在接管实施主体组建接管组时, 对接 管组成员的任职资格从积极资格和消极资格两方面来予以规范, 保障接管组的专业性和公平性。 应 当明确接管条件, 与商业银行评级体系相衔接。 将“信用危机”细分为六种情形的基础上, 对“资产质 量严重不足”“流动性严重不足”等进行细化, 并与原银保监会的《商业银行监管评级办法》形成的评级 体系进行衔接, 被评为可以实行接管这一级别的, 即可进行行政接管。 应当明确接管组织的权限。 对接管组织的权力进行全面且详尽的界定, 并且进一步丰富和完善接管措施的种类和程序。

Abstract

The Administrative Transition of Commercial Banks constitutes an administrative enforcement measure, rather than a novel administrative action. It emerged concomitantly with the promulgation of the Commercial Bank Law of China, and is characterized by its compulsory, non-punitive, non-dispositional, and temporary nature. Given the unique characteristics of commercial banks, there has only been one instance of administrative receivership of a commercial bank since the inception of the system in 2019. Consequently, the provisions regarding administrative receivership in the Commercial Bank Law have remained largely unamended. The case of Baoshang Bank exposed the existing deficiencies within the legal framework governing the administrative receivership of commercial banks. The extant legal regulation of administrative receivership in commercial banks still suffers from several shortcomings, such as incomplete definitions of responsible entities, unclear statutory conditions for receivership, and ambiguous delineation of the duties of the transition organization. These deficiencies result in a lack of legal guidance during the administrative receivership process, necessitating reliance on international precedents to achieve the objectives of receivership, which stands in contradiction to the principle of establishing a rule-of-law society. To address these issues, it should clearly take over the implementation of the main body, standardize the qualifications of the takeover team members, and establish a robust mechanism for accountability within the takeover team. The responsible entities should be confined to the National Financial Supervisory Administration and the Deposit Insurance Fund Management Agency. When forming a takeover team, the qualifications of its members should be regulated in both positive and negative aspects to ensure the professionalism and impartiality of the team. The conditions for the transition should be clarified and linked to the commercial bank rating system. Based on the six detailed situations of the “credit crisis,” “serious lack of asset quality” and “serious lack of liquidity” will also be subdivided, and administrative handover can be carried out immediately if it is evaluated as an acceptable grade in connection with the existing rating system formed by the Commercial Bank Supervisory Management Rating Method of the Banking and Insurance Business Supervision and Management Committee.
