초록
농업회사법인이 국가 및 지방자치단체로부터 지원받을 수 있고, 조세상 혜택이 있는 대신에, 농업회사법인은 농어업경영체법에 있는 사업범위만 영위하여야 된다. 이러한 농업회사법인이 사업범위를 벗어난 사업을 하면, 법원은 시장ㆍ군수ㆍ구청장의 청구에 의하여 농업회사법인에 대하여 해산명령을 내릴 수 있다. 법원이 사업범위를 벗어난 농업회사법인에 대하여 해산명령을 내려야 되는 경우는 농업회사법인이 더 이상 존속하면 안되고, 그 법인격을 박탈시켜야 할 때이다. 따라서 농업회사법인이 사업범위를 벗어난 사업을 했을지라도, 법원이 농업회사법인을 해산명령을 내릴 정도가 아니면, 농업회사법인이 유지되어야 한다. 농업회사법인의 사업범위 관련 규정에 입법적으로 미비된 부분이 있어서, 이 글은 이에 대한 입법적 개선방향(사업범위에서 벗어난 사업을 한 농업회사법인에 대한 해산명령이 신중해야 하는 이유, 사업범위에서 벗어난 사업을 한 농업회사법인에 대한 새로운 행정처분의 도입, 부동산업 영위를 한 농업회사법인에 대한 새로운 행정처분의 도입)을 살펴봤다. 또한 이 글은 농업회사법인의 사업범위 관련 최근 대법원 결정들의 미비점도 제시하였다. 농업회사법인의 사업범위 관련 규정과 대법원 결정들의 미비된 부분이 개선되는데 이 글이 도움이 되기를 바란다. 그리고 이 글을 통하여, 경쟁력 있고 깨끗한 농업회사법인이 육성되고, 농업회사법인의 건강한 농산물이 국민들에게 안정적으로 공급되고, 이러한 농업회사법인이 지속가능함으로써 농업이 잘되고 국민들이 건강하기를 희망한다.
Abstract
The purpose of the agricultural company system is to foster com- petitive agricultural company and promote joint management of agriculture to provide a stable supply of safe agricultural product to the public, and further to contribute to the stability of rural society and national development(see article 1 of the law on fostering and supporting agricultural and fisheries business entities). The main purpose of nurturing these agricultural company is to achieve the goal of strengthening agricultural competitiveness by realizing capital and technology-intensive agriculture through large-scale management. However, although there are many side effects of the agricultural company system, the advantages(tax reduction, various supports from the state and local governments, etc.) of the agricultural company are much greater. If we revise the agricultural company system by referring to the improvement plan for the agricultural company system, the agricultural company system can provide more benefits to farmers and further contribute to the development of agriculture, which is very important as a source of food for the present and the future. In addition, the state and local government must establish and implement comprehensive policies necessary to foster and support competitive agricultural company(see article 3 of the law on fostering and supporting agricultural and fisheries business entities).
