종중재산 처분에 관한 판례법리의 정합성

종중재산이 종중의 의사와 다르게 처분되었을 경우 그 거래의 효과에 대하여 판례의 법리는 종중재산이 종중명의인 경우와, 종중원 명의로 명의신탁한 경우 상반되게 전개되고 있다. 먼저 종중 명의의 재산을 처분할 경우그 거래 행위가 총유물의 관리· 처분인지 아닌지를 구분하여, 전자의 경우에는 민법 제276조에 따라 정관 또는 규약에서 정한 절차 또는 총회결의를거치지 않았다면 그 거래 행위는 절대적 무효가 된다. 반면, 총유물의 관리·처분이 아닌 경우에는 일응 그 거래 행위를 유효한 것으로 보고, 거래상대방의 선악 유무에 따라 그 효력을 구체적으로 결정하고 있다. 한편, 종중이 종중재산을 명의신탁의 방법으로 소유하고 있는 경우에는 위의 법리가 적용되지 않으며 부동산실명법 또는 명의신탁에 관한 판례의 법리가 적용된다. 따라서 명의수탁자인 종중원이 ‘사실상’ 종중재산을 무단으로 처분할 때도 총회의 결의가 필요 없으며 종중의 의사에 반한 처분이라 하더라도 원칙적으로 그 거래 행위는 유효하다. 부동산실명법제8조 규정에 따르면 종중의 명의신탁은 유효하게 성립할 수 있는데이 경우에는 수탁자인 종중원이 대외적으로 소유자로 취급되기 때문이다. 물론 민법상 총유규정과 부동산실명법은 적용 영역과 법의 제정 목적이 다르다. 그러나 양자는 실질적으로는 종중 재산의 처분에 대하여규제하고 있으므로 그 해석의 간극을 좁히기 위한 해석론이 필요하다.
Abstract
Let’s examine the effect of a transaction when clan property is disposed of differently from the clan’s will. First, when disposing of property in the clan’s name, we distinguish whether the transaction is a disposition for the management of common property or not. In the former case, if the procedure stipulated in the articles of incorporation or regulations or a general meeting resolution is not followed according to Article 276 of the Civil Act, the transaction is absolutely invalid. On the other hand, if the clan owns the clan property through a nominal trust, the above legal principles do not apply. Therefore, even when disposing of clan property ‘in fact’, a resolution of the general meeting is not required, and even if the disposition is against the clan’s will, the transaction is valid in principle. Of course, the civil law's collective ownership provisions and the real estate real-name system have different areas of application and purposes of enactment. However, since both of them practically regulate the disposal of family property, an interpretation theory is needed to narrow the gap in their interpretation.
