소프트웨어 대가의 소득구분에 관한 우리나라 판례는 1990년대에 소프트웨어 거래를 상품의 매매와 노하우(kno-how) 또는 비밀정보의 이전으로 구분할 수 있다고 보았다. 우리나라 판례의 태도는 1994년 법인세법 기본통칙과 같은 형식적 기준을 적용한 결과라 할지라도 know-how 등의 이전으로 볼 수 있는 일응의 기준과 선례를 만든 점에서 의미가 크다고 볼 수 있다. 하지만, 판례가 1990년대에 소프트웨어 대가의 소득구분 기준을 제시하고, 현재까지 수정 및 보완없이 적용하고 있는 동안, OECD는 2000년대를 거치면서 소프트웨어 대가의 소득구분에 관한 매우 구체적인 기준을 제시하면서 국제적 논의를 주도하고 있다. 우리나라의 소프트웨어 소득구분 기준은 OECD 기준과 상당히 궤를 달리하게 되었다. 특히, OECD 기준은 사용료가 know-how 또는 비밀정보 이전의 대가인지 여부를 판단하기 위하여 이전되는 비밀정보의 특정을 핵심적 판단요소로 정하고 있는데, 우리나라의 기준은 이전되는 비밀정보가 무엇인지 특정하지 않고 있다는 점에서 know-how 또는 비밀정보의 이전의 핵심적 판단요소를 간과하고 있다는 비판이 가능하다. 따라서 거래의 실질을 잘 반영하면서 OECD가 주도하는 국제적 기준에 부합하도록 소프트웨어 대가 소득구분 기준을 보완하여 발전시킬 필요가 있다. 판례가 나온 지 이미 20년 이상이 지났고 그 사이 OECD 디지털 경제의 발달로 소프트웨어 산업의 거래방식 또한 큰 변화를 겪어왔다. 따라서 우리나라 대법원도 거래의 실질을 잘 반영하면서 소프트웨어 대가 소득구분에 관한 국제적 기준으로 자리매김한 OECD의 기준을 수용함으로써 국제적 기준에 부합하도록 판례의 법리를 좀 더 세분화하고 발전시킬 필요가 있다. 조세조약 규정에 대한 어느 한 국가의 해석은 그 상대방 국가의 조세조약 규정의 해석 및 과세권 행사에 영향을 미칠 수밖에 없고, 같은 조세조약 규정에 대한 서로 상이한 해석은 조세조약의 존재 이유인 이중과세 방지를 저해한다. OECD의 태도가 우리나라 법원을 구속할 수 없음은 당연하다. 그럼에도 인도 최고법원의 판단과 마찬가지로 조세조약의 해석을 위하여 OECD의 태도를 수용하는 것이 필요하다. 글로벌 경제체제의 작은 변화에도 큰 영향을 받는 우리나라의 현실을 고려하더라도 더욱 그러하다. 이 글의 논의가 향후 소프트웨어 대가의 소득구분에 관한 합리적인 기준을 설정하는데 조금이나마 보탬이 되기를 바란다.
Abstract
The South Korean judicial precedent on the classification of software-related income in the 1990s viewed software transactions as either sales of goods or transfers of know-how or confidential information. While the position of South Korean precedents applied formal criteria, such as those found in the 1994 Corporate Tax Law Basic Principles, it is significant that these precedents established preliminary standards and guidelines for recognizing transfers of know-how. However, while the precedents presented criteria for classifying software-related income in the 1990s and have since been applied without substantial revision, the OECD has led international discussions by providing highly specific standards for classifying software-related income, especially during the 2000s. As a result, South Korea's criteria for classifying software income have diverged significantly from OECD standards. In particular, the standards for determining whether payments constitute royalties for the transfer of know-how or confidential information have been criticized for overlooking key elements essential to assessing such transfers. Therefore, it is necessary to refine and develop South Korea’s criteria for classifying software-related income to better reflect the substance of transactions and align with the international standards led by the OECD. Given that more than 20 years have passed since the precedents were established, and considering the significant changes in software transaction methods brought about by the development of the OECD digital economy, it is imperative for the South Korean Supreme Court to embrace OECD standards, which have become a globally recognized benchmark. By doing so, the legal principles of the precedents can be further refined and developed to better reflect international standards. The interpretation of tax treaty provisions by one country inevitably influences the interpretation and exercise of taxing rights by the counterpart country. Divergent interpretations of the same tax treaty provisions undermine the fundamental purpose of tax treaties, which is to prevent double taxation. Although OECD standards do not legally bind South Korean courts, adopting the OECD’s position, as demonstrated by the Indian Supreme Court, is necessary for interpreting tax treaties. This is especially pertinent considering South Korea's susceptibility to even minor changes in the global economic system. It is hoped that this discussion will contribute, even modestly, to establishing reasonable standards for classifying software-related income in the future.
