내부자거래와 정보비대칭:군집거래와 비군집거래 비교

본 연구는 기업의 내부자거래가 정보비대칭을 완화하는지에 대해 고찰하였다. 이를 위해 내부자거래를 군집거래와 비(非)-군집거래로 각각 구분한 후 내부자거래 이후의 정보비대칭 수준에 차이가 존재하는지를 실증 분석하였다. 2001년부터 2018년까지의 기간을 대상으로 한 실증분석 결과는 다음과 같다. 첫째, 내부자 군집거래 여부가 향후 정보비대칭에 미치는 영향은 제한적으로 나타났다. 둘째, 내부자 군집거래를 매수 및 매도로 구분하는 경우 차별적인 결과를 보였다. 비군집거래와 비교할 때 매수 군집거래 이후에는 정보비대칭 수준이 더 낮으며, 반대로 매도 군집거래는 정보비대칭 수준이 더 높게 나타났다. 이는 내부자 순매수자 비율을 이용한 경우에도 향후 정보비대칭에 음(-)의 영향을 미쳐, 내부자 매수(매도) 군집거래가 증가할수록 정보비대칭은 완화(심화)되는 것으로 확인되었다. 전체적으로 내부자거래에 있어 비군집거래와 비교할 때 내부자들이 유사한 방향으로 매매하는 군집거래의 경우 강건한 사적정보를 포함하고 있는 것으로 판단해 볼 수 있다. 하지만, 매수와 매도 군집거래 이후에 확인된 상이한 정보비대칭 영향을 고려할 때 내부자 군집거래의 신호 효과는 주로 매수거래에서 유용한 것으로 추론 가능하다.
Abstract
This study examines whether corporate insider trading mitigates information asymmetry. We divide insider trading into cluster and non-cluster transactions, and compare their effects on information asymmetry levels. Using data from 2001 to 2018, we find that insider cluster trading has a limited impact on future information asymmetry. However, when separating insider cluster trading by transaction type, we observe distinct results. Purchase cluster trading is associated with significantly lower subsequent information asymmetry compared to non-cluster trading, while sale cluster trading results in higher information asymmetry levels. The net insider buyer ratio confirms these findings, showing a negativle relationship with future information asymmetry. Overall, our findings indicate that insider cluster trading contains more private information than non-cluster trading. The differential effects between purchase and sale cluster trading suggest that the private information in cluster trading is conveyed mainly through purchase transactions.
