기업의 지속가능성과 장기적 가치 창출을 위한 핵심 기반으로 기능하는 회사지배구조는 최근 ESG 경영의 확산, 디지털 전환, 지정학적 리스크 등 불확실성 확대에 따라 그 중요성이 더욱 증가하고 있다. 이러한 환경 변화에 대응하여 미국의 COSO와 NACD는 2025년 5월 「회사지배구조 프레임워크(Corporate Governance Framework)」의 공개 초안을 발표하였는데, 이는 원칙 중심(principles-based)의 접근법을 통해 회사지배구조의 유연성과 실효성을 높이고자 하는 목표를 담고 있다. CGF 공개 초안은 감독, 전략, 조직문화, 인적자원, 커뮤니케이션, 회복탄력성 등 6개의 핵심 구성요소와 이에 대응하는 24개의 원칙 및 핵심 실천사항을 통해 실질적인 실행 기준을 제공하고 있다. 이로써 동 초안은 기업이 현행 회사지배구조 체계를 점검하고 우선순위를 설정하거나, 기업의 전략 및 리스크와 연계된 회사지배구조 목표를 수립하는 데 활용될 것으로 기대된다. 아울러 동 초안은 기업 규모나 산업 특성에 따라 자율적이고 단계적인 적용을 가능하게 한다. 특히, 비상장회사 및 중소기업도 참고 가능한 실질적인 기준을 제시함으로 써, 상장회사 중심의 규정 기반 규율체계의 한계를 보완할 수 있는 대안적 틀로 기능할 수 있다. 또한, 동 초안은 주주 우선주의를 넘어 다양한 이해관계자의 이익을 고려한 회사지배구조의 필요성을 강조하며, 이사회가 윤리적 책임과 지속가능성을 주도하는 역할을 해야 한다는 패러다임을 제시한다. 비록 본 초안은 2025년 7월 외부 의견과 규제 환경 변화에 대응하여 철회되었으나, 향후 보완되어 재차 공개될 것으로 예상된다. 따라서 원칙 중심 회사지배구조의 방향성과 그 실천적 기준은 여전히 유효하며, 향후 제도 개선과 정책 설계의 중요한 참고사항으로 기능할 수 있다. 이를 바탕으로 본 논문은 해당 동 초안의 주요 내용과 구조를 분석하고, 국내 회사지배구조 제도에 주는 시사점과 수용 가능성을 검토한다.
Abstract
Corporate governance serves as a critical foundation for corporate sustainability and long-term value creation. Its importance has grown significantly in response to the proliferation of ESG management, digital transformation, and the expansion of geopolitical risks and other uncertainties. In light of these changes, COSO (Committee of Sponsoring Organizations of the Treadway Commission) and NACD (National Association of Corporate Directors) jointly issued the Corporate Governance Framework: Public Exposure Draft (CGF Public Exposure Draft) in May 2025. This draft reflects an effort to enhance the flexibility and effectiveness of corporate governance through a principles-based approach. This paper analyzes the key contents and structure of the CGF Public Exposure Draft and examines its implications and applicability for Korea’s corporate governance system. The CGF Public Exposure Draft presents practical implementation guidelines through six core components—Oversight, Strategy, Culture, Talent, Communication, and Resilience—along with 24 corresponding principles and related focus points. This structure is expected to help companies assess their current governance systems, set priorities, and establish governance objectives aligned with corporate strategy and risk. The draft allows for flexible and phased application tailored to the size and characteristics of each company. In particular, it offers practical benchmarks even for unlisted companies and small and medium-sized enterprises (SMEs), thereby serving as an alternative to the limitations of Korea’s current regulation-heavy, listing-oriented governance framework. Furthermore, the draft calls for a shift away from shareholder primacy toward a broader governance approach that considers the interests of diverse stakeholders, emphasizing the board's role in promoting ethical responsibility and sustainability. Although the draft was withdrawn in July 2025 due to external feedback and shifts in the regulatory landscape, its principles-based direction and actionable standards remain valid. As such, it offers a valuable reference point for future regulatory reforms and policy development. Based on this perspective, this paper explores the key contents of the CGF Public Exposure Draft and evaluates the implications and feasibility of adopting a principles-based governance approach in the Korean corporate environment.
