개정 상법상의 전자주주총회 시스템에 관한 小考 -블록체인 기반 기술을 중심으로-

This study examines the significance and limitations of the electronic general meeting of shareholders (EGMS) introduced under the amended Korean Commercial Act and explores measures for its improvement. It first analyzes the institutional framework and characteristics of the EGMS, addressing legal issues such as notice of convocation and deemed attendance, procedural legitimacy of resolutions, shareholders’ inquiries, and the validity of advance voting rights. Comparative analysis of legislative practices in the United States, Japan, China, and the United Kingdom provides insights for the Korean system. The study further considers the applicability of blockchain technology—its immutability, transparency, and the automation function of smart contracts—to voting, identity verification, and counting procedures. The findings suggest that a blockchain-based EGMS could strengthen procedural fairness and legal stability, thereby contributing to shareholder democracy and improved corporate governance. However, unresolved legal issues remain, including recognition of blockchain’s legal effect and liability allocation in smart contracts, which require legislative and policy responses.
