사립학교법상 임시이사 파견 학교법인의 정상화 방안
Reasonable Method to normalize School Foundation dispatching temporary directors under the Private School Act

이 글은 임시이사 파견 학교법인의 정상화와 관련한 사립학교법제의 변천과 판례를 살펴보고, 정상화된 사립학교의 발전을 위한 정책을 제안하는 데 목적을 두고 있다. 현재 우리나라는 사립학교의 비중이 높다. 또한 사립학교의 운영과 관련하여 상당히 많은 갈등 및 분규가 제기되어 사립학교법인의 이사선임을 취소하고 임시이사를 파견한 사례가 많았다. 그런데 임시이사 파견 이후 정상화 절차에 들어서는 순간 다시 분란이 발생한다. 정상화 절차를 규정한 법령의 미비 때문이다. 2007년 7월 27일에 개정된 ‘사립학교법’은 사학분쟁조정위원회(사분위)를 도입했다. 그러나 정상화 심의 원칙을 규율하지 않아 학교법인 정상화는 대부분 학내 분규의 책임이 있는 구재단의 복귀 통로로 변질되었다. 이를 시정하기 위하여 2018년 6월 26일에 ‘사립학교법 시행령’이 개정되었다. 시행령은 정이사 후보자 추천 시 학교 분쟁에 책임이 있는 종전이사가 구성원으로 있는 전・현직이사협의체는 과반수 미만의 후보자만을 추천할 수 있다는 제한 조항(제9조의7 제5항 제1호)을 신설했다. 이것은 누가 보아도 합리적인 조치이다. 사학분쟁조정위원회도 임시이사가 파견된 사학법인의 정상화를 하는 경우 ‘사립학교법 시행령’ 개정 취지에 맞추어 결정권을 행사하기 시작했다. 그러나, 이러한 변화로 추천권 제한을 받는 종전이사의 소송이 줄을 이었다. 이 글에서는 대법원이 종전이사의 소송을 기각한 성신학원, 상지학원, 충암학원의 판결을 평석했다. 사립학교 과잉 상태인 우리나라 대도시에 사립 중・고등학교의 비중이 상당히 높다. 특히 고등교육의 경우에는 압도적으로 사립대학이 많다. 따라서 공교육이란 관점에서 공영형 사립학교 육성정책이 필요하다. 그런데 이런 공영형 사립학교 육성정책이 특히 필요한 학교가 있다. 바로, ‘법인정상화 과정을 거쳐 사회화된 사립학교’를 들 수 있다.
Abstract
The purpose of this paper is to trace the evolution of the legal framework under the Private School Act governing the “normalization” of school corporations to which temporary directors have been dispatched, to analyze court decisions, and to propose practical policies for the sound development of schools that have been normalized. At present, private schools account for a large share in Korea. Disputes over their operation have been frequent, leading in many cases to the cancellation of director appointments at school corporations and the dispatch of temporary directors. Yet, new conflicts often arise the moment the normalization process begins—largely because the relevant statutes and regulations lacked clear rules for that process. The amendment of the Private School Act on July 27, 2007 introduced the Private School Dispute Resolution Committee. However, because it did not set substantive principles for reviewing normalization, the process largely degenerated into a channel for restoring control to the former foundation that had borne responsibility for campus disputes. To correct this, the Enforcement Decree of the Private School Act was amended on June 26, 2018. It added a clause (Article 9-7, Paragraph 5, Subparagraph 1) stipulating that an association of former or current directors, which includes former directors responsible for school disputes as its members, may recommend less than a majority of candidates for regular director positions. This was an eminently reasonable measure. In line with that amendment, the Committee began exercising its decision-making authority when normalizing school corporations with temporary directors. These changes, however, prompted a wave of lawsuits by former directors whose recommendation powers were restricted. This paper analyzes major cases—Sungshin, Sangji, and Chungam. Fortunately, in all of these cases the Supreme Court ultimately dismissed the former directors’ claims. Korea is effectively in a state of “over-privatization” in schooling: private middle and high schools are highly concentrated in major cities, and private universities dominate higher education. From the standpoint of public education, a policy to foster “Government-dependent private school”(public-dependent models) is needed—particularly for institutions that have undergone legal normalization and become, in effect, “socialized private schools.”
