윤리경영과 준법경영 비판 - 정치경제학과 법경제학 관점에서의 비판과 대안의 탐색 및 사례 분석 -

This study begins with a question about whether existing business ethics and compliance (hereinafter, “B&C”) can accommodate and explain the rapidly changing business environment driven by economic changes and corporate innovation. It traces the cause of the shift, arguing that modern economics, the foundation and fundamental of B&C, has excluded ethical things from the economy-ethic compatibility perspective of modern political economy, upon which it was based. It then compares these findings from the perspectves of the value-friendly and the value-incompatible. As an alternative to the limitations of value-incompatible modern economics, this study proposes a value-friendly approach, understanding of ethic and compliance (hereinafter, “EC”) which is constituted with EC risk and EC cost. It then introduces law and economics, a discipline within the value-friendly tradition, to examine the feasibility of this approach. Based on these findings, this study demonstrates that four cases which cannot be explained by B&C based on value-incompatible. It also demonstrates that a value-friendly EC understanding can identify and explain these, and offer solutions. This study identifies the structural limitations of B&C and theoretically examined the potential for improvement in management through EC understanding.
