기업지배구조의 개별 구성요소가 기업 성과와 가치에 미치는 영향

[연구목적] 본 연구는 기업지배구조를 구성하는 5개 세부 항목(주주권리보호, 오너십, 내부거래, 이사회, 기업투명성)이 각각 기업의 성과(ROA), 기업가치(TobinQ), 시장가치수익률(NIMV)에 미치는 영향을 개별적으로 분석하고, 이러한 효과가 당해연도․전년도․변화량 수준에서 어떻게 나타나는지 검증하는 것을 목적으로 한다. [연구방법] 표본은 한국ESG기준원에서 기업지배구조 평가등급을 제공한 2014～2016 년 KOSPI․KOSDAQ 상장사(금융업 제외) 2,007개 기업을 대상으로 하였다. 각 기업의 5개 지배구조 항목 점수를 당해연도, 전년도, 전년도 대비 변화량으로 구분하여 종속변수(ROA, TobinQ, NIMV)와의 관계를 최소자승법(OLS) 회귀분석으로 검증하였다. [연구결과] 당해연도 주주권리보호 수준과 ROA는 유의하지 않았으나, 주주권리보호수준의 변화량은 음의 유의한 관계, 전년도 주주권리보호 수준은 양의 유의한 관계를나타냈다. 주주권리보호 수준이 1년 이후 이익에 영향을 미치는 것으로 해석된다. TobinQ에서는 당해연도 및 전년대비 변화된 오너십, 전년도 오너십 수준도 유의한 양의 관계를 나타냈다. 주주권리보호 수준의 변화량이 양의 관계를 보였으며, 전년도 주주권리보호 수준은 음의 관계였다. 책임감 있는 지배주주의 역할이 기업가치에 일관되게 영향을 미치고 있다. NIMV는 모든 변수에서 유의한 결과가 나타나지 않았다. [연구의 시사점] 주주권리보호 정책과 책임감 있는 지배주주의 오너십이 장기적으로기업성과와 가치에 긍정적인 영향을 미칠 수 있음을 시사하며, 한국기업의 지배구조 개선정책 수립과 적정 가치평가에 중요한 시사점을 제공한다.
Abstract
[Purpose] This study examines how five components of corporate governanceshareholder rights protection, ownership, internal transactions, board independence, and corporate transparency－affect corporate performance (ROA), firm value (Tobin’s Q), and market return (NIMV). It also analyzes differences by current, prior, and year－over－year levels. [Methodology] Using data from 2,007 non－financial KOSPI and KOSDAQ firms (2014－2016) evaluated by the Korea ESG Standards Institute, this study applies OLS regression to test the relationships between governance components and the three dependent variables. [Findings] For ROA, current shareholder rights protection was insignificant, while its change was negative and its prior level positive. For Tobin’s Q, ownership (current and change) and changes in shareholder rights protection were positive, whereas prior shareholder rights protection was negative. NIMV showed no significant effects. [Implications] The findings indicate that stronger shareholder rights protection and responsible ownership contribute to long－term improvements in firm performance and value, offering insights for corporate governance reforms and firm valuation in Korea.
